Referral Programme Terms
Version 1.4 - Effective: 11 September 2026
These Referral Programme Terms (the “Terms”) govern the Renzo customer referral programme (the “Programme”), operated by Gatenby Technology Group Limited t/a Renzo, a company registered in England and Wales (company number 17295467), registered office 82A James Carter Road, Mildenhall, IP28 7DE (“Renzo”, “we”, “us”). They are entered into between Renzo and the existing Renzo customer who takes part (“Referrer”, “you”). By taking part in the Programme you agree to these Terms, which sit alongside your Customer Agreement (our Terms of Service).
1. Definitions
1.1In these Terms:
Referreran existing Renzo customer with an active, paid subscription in good standing who refers a New Customer.
New Customera business that becomes a completely new tenant on Renzo, and that is not (and has not been) an existing or former Renzo customer, is not already registered on or in a current trial of Renzo, and has not already been referred by another Referrer or Introducer.
Referrala valid introduction of a New Customer made through the referral page within the Renzo platform before the New Customer signs up.
Qualifying Eventthe New Customer signs up for a paid Renzo subscription and makes their first subscription payment in full (whether they pay monthly or annually). There is no minimum subscription period.
Rewardone month free of the Referrer’s own base subscription, applied automatically as a discount in accordance with clause 4, and subject to the cap in clause 4.6.
2. Eligibility
2.1The Programme is open to existing Renzo customers with an active, paid subscription that is in good standing (not in arrears, suspended, or cancelled).
2.2A referral only qualifies where the person referred is a completely new tenant, as defined in clause 1.1. Self-referrals are not permitted: a Referrer may not refer itself, a business it controls or is controlled by, or a business under common control, and may not create or use additional or fake accounts to obtain Rewards.
2.3Renzo may verify eligibility and may decline any referral at its reasonable discretion.
3. How to Refer
3.1Refer a New Customer by sharing your unique referral link, or by registering their details through the referral page within the Renzo platform, before the New Customer creates an account. A referral is valid only where the New Customer signs up through your referral link, is registered through the referral page, or identifies you as the referrer at sign-up, and had no prior relationship with Renzo.
3.2First come, first served: if more than one Referrer or Introducer refers the same New Customer, the first validly registered referral takes precedence. No Reward is payable to a later referrer for the same New Customer.
3.3A referral registration may expire 60 days after it is made if the New Customer has not signed up; you may register the New Customer again after expiry if they remain eligible.
4. The Reward
4.1Where a New Customer you have validly referred completes the Qualifying Event, you become entitled to one Reward for that New Customer: one month free of your own subscription. There is no minimum period for which the New Customer must remain subscribed beyond making their first payment in full. A New Customer who signs up through your referral link also receives a 14-day free trial and 50% off their first month.
4.2The Reward is worth one month of your own base subscription and is determined by your own plan, not by the plan or billing choice of the New Customer you refer. If you are billed monthly, it is given as a discount equal to one month of your then-current base subscription fee, applied automatically to your next invoice once the New Customer makes their first payment. Because it is a discount, that month of your base subscription is free including any VAT on it.
4.3If you are billed annually, the Reward is given as a discount on your next renewal invoice, equal to one month of your annual base subscription fee (one twelfth of your annual fee) as at the date you earn the Reward. The amount is fixed when you earn it and does not change if your subscription price or plan changes before your renewal. We will confirm the amount to you by email when you have earned it. Whether you are billed monthly or annually, the Reward applies to your base subscription fee only, and not to any add-ons, extra users, usage-based charges or third-party costs, which you continue to pay as normal.
4.4To receive a Reward, you must still be an active paying subscriber in good standing at the time the discount is applied. If you have cancelled, downgraded to a free plan, or are not in good standing, the Reward is forfeited. The Reward has no cash value, is not redeemable for cash, and is not transferable.
4.5If a New Customer’s payment is later refunded, charged back or reversed, or the New Customer or referral is found to be ineligible or fraudulent, Renzo may withhold the related Reward or reverse a Reward already given (for example, by removing an unused discount or applying an offsetting charge to a future invoice).
4.6You may earn a maximum of six (6) Rewards (six free months) in any rolling 12-month period. Valid referrals beyond that limit do not earn a further Reward, even if they otherwise qualify.
5. Disclosure
5.1When you recommend Renzo to a business you refer, you must make clear to them that you take part in the Renzo referral programme and receive a benefit (a free month of your own subscription) if they sign up. You must not hide that benefit or mislead the business about your reason for recommending Renzo.
6. Tax
6.1A Reward is a discount on your own subscription, not a payment to you. You are responsible for any tax consequences of taking part in the Programme.
7. Anti-fraud and Abuse
7.1Renzo may withhold Rewards, and suspend or remove you from the Programme, where it reasonably suspects fraud, self-referral, fake or duplicate accounts, misrepresentation, or any breach of these Terms or your Customer Agreement.
7.2Renzo’s records are conclusive evidence (in the absence of manifest error) of whether a referral qualifies and whether a Reward is due.
8. How you Promote Renzo
8.1When telling others about Renzo you must: give accurate information based on Renzo’s published materials; not make misleading, exaggerated or disparaging claims; not send unsolicited marketing in breach of the Privacy and Electronic Communications Regulations (PECR) or spam; not imply that you are Renzo or that you speak or act on Renzo’s behalf; and use Renzo’s name, logo and branding only in line with any brand guidance we provide.
9. Intellectual Property and Confidentiality
9.1All intellectual property rights in Renzo, including the Renzo name, logo, trade marks, branding, website, software, and any promotional or marketing materials we make available to you, are and remain the property of Renzo (or our licensors). You acquire no rights in them by taking part in the Programme. We grant you a limited, non-exclusive, revocable licence to use the Renzo name, logo and materials solely to promote Renzo under these Terms and in line with any brand guidance we provide; you must not alter, misuse, register or attempt to register, or claim ownership of any of them, and you must stop using them if you leave the Programme or we ask you to.
9.2You must not, without our prior written consent: (a) register or use any domain name, social media handle, username, app or business name that contains “Renzo” or is confusingly similar to our name or brand; (b) bid on or use “Renzo” or any of our trade marks (or close variants) as a keyword or term in any paid search or online advertising; or (c) present yourself online in any way likely to make people think your website, page or account is operated or endorsed by Renzo. If we ask, you will promptly cancel or transfer to us any such domain, handle or account.
9.3All goodwill arising from any use of the Renzo name, logo and brand belongs to Renzo. You acquire no ownership in it, and to the extent you acquire any rights in our name, trade marks or brand you assign them, and will do what we reasonably ask to assign them, to Renzo.
9.4You must keep confidential all non-public information about Renzo and its business that you obtain through the Programme, such as our pricing, product, customer and prospect information, plans and know-how, and anything a reasonable person would understand to be confidential (“Confidential Information”). You must not use or disclose it for any purpose other than taking part in the Programme, must protect it with reasonable care, and must not share Renzo’s company or customer information with any third party without our prior written consent. On leaving the Programme you must stop using and, if we ask, return or securely delete any Confidential Information and Renzo materials you hold. This does not apply to information that becomes public through no fault of yours, or that you must disclose by law. Your duty to keep this information confidential continues even after you leave the Programme, and is in addition to any confidentiality obligations in your Customer Agreement.
10. Compliance with Laws and Anti-Bribery
10.1You must comply with all laws, regulations and industry codes that apply to how you promote Renzo and take part in the Programme, including the UK GDPR, the Privacy and Electronic Communications Regulations (PECR), consumer protection law, and the UK advertising codes (including the CAP Code).
10.2You must not offer, give, request or accept any bribe, or any improper payment or inducement, and you must comply with the Bribery Act 2010. You must not do, or fail to do, anything that would cause Renzo to breach that Act.
11. Data Protection
11.1Where you provide a prospective customer’s personal data to Renzo (including through the referral tool), you confirm that you have a lawful basis to share it and, where required, the individual’s consent under PECR. Renzo processes referral data as controller for the purpose of operating the Programme, as described in our Privacy Policy.
12. Changes and Withdrawal
12.1Renzo may change these Terms, or suspend or withdraw the Programme, on 30 days’ notice. Changes do not affect Rewards that have already been fully earned before the change takes effect. Continued participation after the effective date of a change is acceptance of it.
13. Indemnity
13.1You will indemnify Renzo, and keep Renzo indemnified, against all losses, damages, costs (including reasonable legal costs), claims and liabilities that Renzo suffers or incurs arising out of or in connection with: (a) your breach of these Terms; (b) any misleading, inaccurate or unauthorised statement you make about Renzo or its services; (c) your breach of any law, regulation or code, including data protection law, PECR, advertising codes or the Bribery Act 2010; (d) your infringement or misuse of the intellectual property rights of Renzo or any third party; or (e) any third-party claim arising from your acts or omissions in connection with the Programme.
14. Liability
14.1Nothing in these Terms excludes or limits any liability that cannot lawfully be excluded or limited. Subject to that, Renzo is not liable for indirect or consequential loss, or for lost or anticipated Rewards, and Renzo’s total liability in connection with the Programme is limited to the value of any Rewards properly due to you but not provided.
15. General
15.1These Terms sit alongside, and do not replace, your Customer Agreement (our Terms of Service), which continues to govern your subscription. If there is a conflict about your subscription, the Customer Agreement prevails; these Terms govern the Programme.
15.2You may not assign these Terms. Renzo may assign them to a group company or successor. A failure to enforce a term is not a waiver of it, and if any term is unenforceable the remainder continues in force. No one other than the parties has any right to enforce these Terms under the Contracts (Rights of Third Parties) Act 1999.
15.3These Terms, together with our Privacy Policy, form the entire agreement between you and Renzo about the Programme and replace any earlier discussions, statements or arrangements about it; your Customer Agreement continues to govern your subscription, as set out in clause 15.1.
15.4Any provision that by its nature is intended to continue after your participation ends will continue in force, including clause 4.5, clause 7.2, clause 9 (Intellectual Property and Confidentiality), clause 13 (Indemnity) and clause 14 (Liability).
16. Governing Law
16.1These Terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
Acceptance
You do not need to sign this document. You accept these Referral Programme Terms electronically within the Renzo platform, by ticking to confirm that you have read and agree to them when you join the Programme, thereby agreeing to them with Gatenby Technology Group Limited t/a Renzo.
Renzo records your acceptance, including the date and time and the account from which it is given. In line with clause 7.2, that record is conclusive evidence (in the absence of manifest error) that you have agreed to these Terms.
